Terms of Use

Effective date: October 1, 2026

These Terms of Use ("Terms") are an agreement between you and NEXTIME MCK, LLC, a Texas limited liability company ("Quiet Circle", "we", "us"), the developer of the Quiet Circle mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Quiet Circle is not an emergency service, a medical device, or a personal alarm. It does not contact emergency services, and it cannot guarantee that it will notice a problem or notify anyone in time. If you or someone else may be in danger, call your local emergency number (for example 112 in Europe or 911 in the United States) immediately.

1. What the Service Does

Quiet Circle lets a small group of people (a "circle") see simple signs of activity from each other's phones, such as whether a phone has moved during an hour, and sends a check-in to the circle when expected activity has not been seen for a while.

The Service depends on things we do not control: your phone, its operating system, battery and power-saving settings, permissions you grant, network connectivity, and Apple's and Google's notification services. Signals can be delayed, missing or wrong. A quiet period does not necessarily mean something is wrong, and an absence of check-ins does not mean everything is fine. Do not rely on the Service as your only way to look after anyone's safety or health.

2. Eligibility and Your Account

3. Circles and Consent

4. Subscriptions, Trials and Billing

5. Acceptable Use

You agree not to:

6. Your Data

Our Privacy Policy explains what we collect, why, and your rights. You keep ownership of the information you provide. You allow us to process it only as needed to run the Service for you and your circle.

You can delete your account in the app (Profile > Delete Account) or by following the steps on our account deletion page.

7. Licence to Use the App

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, for your own non-commercial use, in line with these Terms and the usage rules of the store you downloaded it from. The app, its design, the Quiet Circle name and logo, and all related intellectual property belong to us or our licensors. Nothing in these Terms transfers them to you.

8. Changes and Availability

We may update, change or discontinue features of the Service. We aim to keep the Service available but do not promise uninterrupted or error-free operation. If we discontinue the Service entirely, we will give reasonable notice in the app or by email.

9. Ending These Terms

You can stop using the Service and delete your account at any time. We may suspend or close an account that seriously or repeatedly breaches these Terms, or where we must do so by law. Where reasonable, we will tell you why and give you a chance to respond. Sections 10 to 14 continue to apply after these Terms end.

10. Disclaimer

To the extent the law allows, the Service is provided "as is" and "as available". We do not warrant that it will detect any particular event, that signals or check-ins will be timely, complete or accurate, or that it will meet your needs. This does not affect any rights you have as a consumer that cannot be excluded by contract.

11. Limitation of Liability

To the extent the law allows, we are not liable for any indirect or consequential loss, or for any loss or harm arising from a missed, delayed or incorrect signal or check-in, or from relying on the Service instead of contacting emergency services. Our total liability to you for any claim relating to the Service is limited to the amount you paid for the Service in the twelve months before the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited or excluded under applicable law.

12. Apple App Store Terms

If you downloaded the app from the Apple App Store, the following also applies:

13. Google Play Terms

If you downloaded the app from Google Play, your purchases are also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the app.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country.

Before starting a formal dispute, please contact us at [email protected] so we can try to resolve it.

15. Changes to These Terms

We may update these Terms. The effective date at the top shows the latest version. For material changes we will tell you in the app or by email at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply; if you do not agree, you can cancel your subscription and delete your account.

16. General

If any part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor that takes over the Service, without reducing your rights.
